Jurisdiction: Our Platform and Services are primarily operated in Bangladesh, and these Terms shall be governed by and construed in accordance with the laws of Bangladesh. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Bangladesh.

3. Platform Description and Limitations

3.1. AI-Powered Content Generation Tool

VERBXAI utilizes renowned large language models (LLMs) to provide AI-generated content suggestions and drafts across various use cases. VERBXAI is designed as a tool to assist users in content creation, offering automated generation capabilities to support their marketing and business needs. Although we strive to provide a valuable tool, please be aware of the following critical limitations:

Limitations of AI-generated Content and User Responsibility: Users understand and acknowledge that VERBXAI is an AI-powered tool, and the generated content is based on underlying models that have inherent limitations. These models may not have access to the very latest information and can produce content that requires thorough review, fact-checking, and human oversight. It is crucial that users revalidate, verify, and edit any generated content to ensure accuracy, appropriateness, and compliance with all applicable laws and regulations. VERBXAI is not responsible for the accuracy, reliability, or suitability of the AI-generated content. Any reliance on such content is solely at the user's own risk and discretion. VERBXAI is not a substitute for professional marketing advice or human creativity and judgment.
Service Interruptions and Technical Limitations: Our Platform and Services may experience interruptions or errors due to technical issues, maintenance, or third-party dependency constraints. VERBXAI shall not be liable for any disruption or failure in the Platform and Services resulting from these circumstances. We will endeavor to minimize disruptions and provide timely notifications where possible.

3.2. Token Usage and Subscription Details

Token System:

Social Media Captions: 1 token each
Newsletter Ideas: 1 token each
Hashtag Generation: 1 token each
Product Name Generation: 1 token each
Video Scripts: 2 tokens each
Cold Emails: 3 tokens each
Newsletter Content: 2 tokens each
Ads Copy: 2 tokens each
Product Descriptions: 5 tokens each

Subscription Plans and Trial Use:

Free Trial: One-time trial per user with 60 tokens for a 7-day access period. No credit card is required.
Starter Plan: $19/month – 300 tokens/month with basic features and support.
Professional Plan: $49/month – 1000 tokens/month with all features and priority support.
Unused Tokens: Tokens expire at the end of each subscription period and do not roll over.

Subscription and Payment Terms: All subscription payments are non-refundable due to the immediate access to platform features and token allocation upon purchase. Subscriptions are monthly and require manual renewal. You are not automatically billed for the next month unless you actively renew your subscription. 4. User Authentication & Data Handling

Access to our Platform and Services requires user authentication via Google using our OAuth integration. Please review our Privacy Policy for details regarding the collection, use, storage, and protection of your personal data. By using our Platform and Services, you consent to the practices described therein.

5. Modifications to the Platform and Terms

VERBXAI reserves the right to modify, update, or terminate the Platform and Services at any time. In the event of any significant changes to the Platform and Services or these Terms, we will provide at least 7 days' notice via email to all registered users. Continued use of the Platform and Services after such notice constitutes acceptance of the updated Terms.

6. Disclaimer of Warranties and Limitation of Liability

Disclaimer of Warranties: Our Platform and Services are provided "as is" and "as available." VERBXAI does not warrant that the Platform and Services will be uninterrupted, error-free, or free from harm caused by technical issues or third-party services. To the maximum extent permitted by applicable law, VERBXAI disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability: To the maximum extent permitted by applicable law, in no event shall VERBXAI be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data, arising out of or in connection with your use of the Platform and Services. Our total liability to you for any claim arising out of or relating to these Terms or the Platform and Services shall not exceed the amount you paid to VERBXAI in the twelve (12) months preceding the event giving rise to the liability.

7. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of Bangladesh. Any disputes, controversies, or claims arising out of or relating to these Terms or the Platform and Services shall be resolved exclusively by the courts in Bangladesh.
